These Terms of Service and End User License Agreement (this “Agreement”) are a binding contract between you (“you” or “User”) and ProCert Communications LLC, a Utah limited liability company (“ProCert,” “we,” “us,” or “our”). This Agreement governs your access to and use of procert.com and the ProCert platform, including the certification course finder, training courses, continuing-education (CEU) tools, and related content and services (collectively, the “Services”).
By creating an account, purchasing a course or subscription, or otherwise accessing or using the Services, you agree to be bound by this Agreement and our Privacy Policy. If you do not agree, do not use the Services.
You must be at least 18 years old and able to form a binding contract to use the Services. To access certain features you must create an account. Depending on how you sign up, your account may be a candidate, reviewer, or publisher account, each with different features and permissions. You agree to provide accurate information, keep it current, and keep your credentials confidential. You are responsible for all activity under your account. Notify us promptly of any unauthorized use.
Subject to your compliance with this Agreement and, where applicable, payment of all fees, ProCert grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services and the training content you are authorized to access, solely for your own personal, non-commercial, professional-development purposes. No rights are granted to you except as expressly set out in this Agreement.
ProCert offers training courses that may be purchased individually (one-time purchase) or accessed through an all-access subscription. Some courses are provided directly on the ProCert platform, while others may be delivered by third parties or via external links. Prices, availability, and course details are shown at the point of purchase and may change. Unless stated otherwise, a one-time course purchase grants you access to that course for your personal use for the period indicated at purchase. Payment is processed securely by our third-party payment processor (as shown at checkout, payment is processed securely by QuickBooks), and ProCert does not receive or store your full card number.
All-access subscriptions are offered on a recurring basis (for example, monthly or annually) at the price shown at purchase. Subscriptions automatically renew at the end of each billing cycle at the then-current rate until you cancel. You authorize us and our payment processor to charge your payment method for each renewal. You may cancel at any time before the next billing date through your account or by contacting us; cancellation stops future renewals but does not retroactively refund the current period unless required by law. We may change subscription pricing on a prospective basis with notice; changes take effect at your next renewal.
Except where required by applicable law or expressly stated at the point of purchase, fees are non-refundable. If a refund policy applies to a specific course or subscription, it will be presented at checkout and governs that purchase. To request a refund permitted under an applicable policy, contact us using the details below.
If you submit, upload, or make available any content — including course materials, files, reviews, ratings, login information for online courses, or other materials (“User Content”) — you retain ownership of your rights in it. You grant ProCert a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, display, and use your User Content as necessary to operate and provide the Services (for example, storing uploaded files and making a submitted course available to an assigned reviewer). Uploaded files may be stored with our file-storage provider (Box). You represent and warrant that you own or have the necessary rights to your User Content, that it does not infringe any third-party rights or violate any law, and that you have authority to grant the license above. You are solely responsible for your User Content.
You agree not to:
The Services and all associated content, software, text, graphics, logos, and materials (excluding User Content and third-party materials) are owned by ProCert or its licensors and are protected by intellectual-property laws. “ProCert” and related marks are trademarks of ProCert Communications LLC. Except for the limited license granted above, this Agreement does not transfer any ownership or intellectual-property rights to you.
The Services include reviews, ratings, descriptions, and links relating to third-party certification study materials, courses, and providers. Those materials are owned by their respective owners. ProCert’s reviews and ratings are independent opinions offered to help you choose study materials; they do not constitute an endorsement by, affiliation with, or sponsorship by any third-party provider or certification body. Your use of third-party materials is governed by the applicable third party’s terms.
ProCert is an independent service and is not affiliated with, endorsed by, or sponsored by any certification vendor, exam provider, or standards body (including, without limitation, CompTIA or any other named certification). All product and certification names, trademarks, and logos are the property of their respective owners and are used for identification only. Purchasing or completing training through the Services does not guarantee that you will pass any exam or obtain any certification. Certification outcomes depend on the certifying body and factors outside our control.
Certain features — including continuing-education (CEU) correlations, credit suggestions, and objective mappings — are provided for informational and decision-support purposes only. They are not official determinations by any certifying body and do not guarantee that any activity, course, or credit will be accepted toward a certification or renewal. You are responsible for verifying continuing-education and certification requirements with the applicable certifying body.
The Services and all content are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. ProCert does not warrant that the Services will be uninterrupted, error-free, secure, or that content is accurate, complete, or current. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.
To the maximum extent permitted by law, ProCert and its members, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or certification opportunity, arising out of or relating to your use of (or inability to use) the Services, even if advised of the possibility of such damages. To the maximum extent permitted by law, ProCert’s total aggregate liability for all claims relating to the Services will not exceed the greater of (a) the amount you paid to ProCert for the Services in the twelve (12) months before the event giving rise to the claim, or (b) USD $100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
You agree to defend, indemnify, and hold harmless ProCert and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your User Content, your use of the Services, or your breach of this Agreement or of any law or third-party right.
This Agreement remains in effect while you use the Services. We may suspend or terminate your access at any time, with or without notice, if you violate this Agreement or if we discontinue the Services. You may stop using the Services and close your account at any time. Upon termination, the license granted to you ends, but any provisions that by their nature should survive (including sections 6, 8, and 12–18) will survive.
This Agreement is governed by the laws of the State of Utah, without regard to its conflict-of-laws rules. You and ProCert agree that the state and federal courts located in Utah will have exclusive jurisdiction over any dispute arising out of or relating to this Agreement or the Services, and you consent to personal jurisdiction and venue there, except that either party may seek injunctive relief in any court of competent jurisdiction. If any dispute-resolution or arbitration terms are added in the future, they will be presented to you separately.
We may update this Agreement from time to time. When we do, we will revise the “Last updated” date above and, where appropriate, provide additional notice. Changes are effective when posted. Your continued use of the Services after an update means you accept the revised Agreement.
This Agreement, together with the Privacy Policy and any terms presented at purchase, is the entire agreement between you and ProCert regarding the Services and supersedes prior agreements on that subject. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign this Agreement without our consent; we may assign it in connection with a merger, acquisition, or sale of assets. Nothing in this Agreement creates a partnership, agency, or employment relationship.
